NewJeans' escape plan, their attempt, and their failure: the “key person” in this year-long fight was Min Heejin. On the 30th, the Seoul Central District Court's Civil Division 41 (presided over by Judge Jeong Hoe-il) ruled in favor of ADOR. It was, in effect, a complete defeat for NewJeans.
NewJeans had demanded contract termination, citing:
▲ a management vacuum following Min Heejin's dismissal,
▲ damage to NewJeans' uniqueness caused by ILLIT,
▲ failure to respond to leaked trainee videos,
▲ downplaying of NewJeans' achievements, and
▲ forced album shipments.
However, the court did not accept any of NewJeans' more than ten claims. Dispatch reviewed the judgment and retraced the main points of the court's decision.
1. Nowhere in this exclusive contract does it stipulate that Min Heejin must personally perform management duties for NewJeans.
2. All ADOR employees work solely for NewJeans. NewJeans has been provided with a dedicated fan app (Phoning), high-end accommodations, a private choreography studio, and a personal styling room.
They were even given the opportunity to appear in a BTS music video before their debut.
These facts demonstrate that ADOR made considerable efforts in managing NewJeans.
3. NewJeans claimed that around April 2024, during an important period such as their album release, HYBE conducted a retaliatory audit against Min Heejin. However, it was Min Heejiin who initiated the public opinion battle at that time.
4. Although Min Heejin was ADOR’s CEO during that period, NewJeans' complaints were directed at the actions of ADOR and HYBE excluding Min Heejin.
5. Min Heejin prepared in advance for a public relations campaign, reporting to relevant authorities, and litigation with the intent to spin off ADOR, which includes NewJeans, from HYBE.
6. In the process, she planned to use NewJeans' parents to naturally create public sentiment that HYBE had treated NewJeans unfairly.
7. Meanwhile, she also sought investors to acquire ADOR. Min Heejin's actions cannot be viewed as protecting NewJeans from breach of exclusive contract obligations. (Nowhere in the conversations between Min Heejin and executive L, etc., is there any mention of this being for the purpose of protecting NewJeans.)
8. This appears to be the result of Min Heejin's preliminary work to identify elements necessary for forming negative public opinion against HYBE and filing lawsuits.
9. It appears Min Heejin intended for ADOR to become independent from HYBE, or for herself to take NewJeans and become independent from both ADOR and HYBE.
10. Hanni appears not to have heard or accurately recalled the ILLIT's manager's statement. The phrase "ignore her," which NewJeans claims as grounds for harassment, was first used by Min Heejin.
11. It is difficult to rule out the possibility that Hanni's memories and expressions regarding the situation at that time were distorted through her conversations with Min Heejin. (Especially since Hanni appears to be less proficient in Korean.)
12. Min Heejin reconstructed the situation at that time, implying that Hanni had been subjected to direct and aggressive actions, even though Hanni herself could not accurately describe the circumstances.
13. Despite the inability to acknowledge that album pushing actually occurred, Min Heejin merely used it as a means to attack HYBE externally. She showed no interest whatsoever in whether this issue (if it existed) was rectified and whether NewJeans' relative undervaluation compared to competing idol groups was resolved.
14. In the case of management contracts (especially for pre-debut stages like NewJeans), substantial investments are typically made when the artist's success is uncertain, and only upon achieving success can the returns on that investment be recovered. However, if an artist receives such comprehensive support under an exclusive contract to build recognition and a fanbase, then exercises decision-making authority over matters within the management company's domain (such as personnel, and content production) are areas under the management company's authority and domain. If the artist then asserts that the exclusive contract is invalid because their decisions regarding these matters were not accepted, this would effectively allow them to easily escape the exclusive contract without just cause. Therefore, the fact that the artist's unreasonable demands were not accepted cannot be viewed as forcing exclusive activities against the artist's free will, thereby excessively infringing upon their personality rights.
15. The exclusive contract in this case remains valid. ADOR holds the position of management company for NewJeans under this exclusive contract.
NewJeans expressed dissatisfaction with the ruling. They stated they cannot return to ADOR. "It is impossible to resume normal entertainment activities by returning to ADOR under circumstances where the trust relationship has completely broken down," adding, "We plan to appeal immediately."
Meanwhile, ADOR conveyed, "We sincerely hope today's outcome serves as an opportunity for the artists to calmly reflect on this matter," adding, "We have completed preparations for activities such as the release of (NewJeans') full-length album and are waiting."
