[theqoo] '100 MILLION WON PLEDGE' AT TXT SHOWCASE... HYBE "VIOLATION WILL ALSO LEAD TO SEPARATE CLAIMS FOR DAMAGE"

(100M won = ~73K USD)

It has been confirmed that the non-disclosure agreement (NDA) for fans attending the comeback showcase of the group Tomorrow X Together (TXT) includes a clause stipulating a contractual penalty of 100 million KRW, separate from any potential claims for damages, in the event of a breach.

According to an investigation by this outlet on the 5th, the agreement for the Tomorrow X Together showcase explicitly states that any violation will obligate the individual to pay a "contractual penalty of 100 million KRW" to Weverse Company, Big Hit Music, and HYBE, a payment distinct from any liability for damages.

Furthermore, the agreement includes a provision stating that the signatory may not raise any objections regarding the amount of this contractual penalty.

The pledge states that the 100 million KEW figure is a “minimum reasonable amount,” determined by taking into account the nature and significance of the event and the confidential information involved. It further includes a commitment that the signatory “shall not dispute or raise any objections regarding the magnitude or appropriateness of this amount in the future.” This functions as a penalty for breach, a sum to be paid in the event of a violation to ensure compliance with the agreement. The pledge explicitly stipulates that this 100 million KEW payment is separate from any compensation for actual damages incurred.

Other provisions are also noteworthy. Clause 7 stipulates that, in the event of a breach, the signatory shall bear “full civil and criminal liability” and compensate the companies for any damages they have sustained.

Clause 3 includes an agreement to a procedure whereby, should a breach occur, or if there is a reasonable suspicion of one, the companies may access the signatory’s electronic devices and delete any unauthorized recordings, such as photos, videos, or audio files.

This pledge agreement applies to those selected to attend the pre-recording of the comeback showcase for the group’s 9th mini-album, "PERFECT STORM," which is set for release on the 16th.

The official event notice states, "To prevent the leakage of content, attendees are required to sign a security pledge; those who do not consent will not be permitted to participate."

The intent is to prevent the unauthorized disclosure of unreleased performances and new songs, given that the event is taking place 11 days before the official album release. However, the pledge that participants must sign includes provisions for both damages and a separate contractual penalty (liquidated damages) of 100 million KRW.

For the pre-recording scheduled to take place on the 5th at the CJ ENM Ilsan Production Center in Goyang, Gyeonggi Province, a total of 750 attendees have been announced: 200 selected via a membership lottery and 550 selected from among album purchasers. An additional 10 individuals have also been designated as alternates.

Tomorrow X Together will release their 9th mini-album, "Perfect Storm," on the 16th at 6:00 PM. The album features a total of six tracks, including the title song, "Angel Bite."

1. Even if they write down a claim for hundreds of millions in damages, it’s basically just a scare tacticã…‹ã…‹ã…‹ã…‹ã…‹ã…‹ You have to prove actual, tangible losses to be able to file such a claim, after all ã…‹ã…‹ã…‹ã…‹ã…‹ã…‹ã…‹ã…‹

4. That’s just to scare people... as long as nothing major happens, it doesn’t really matter

5. They’re pulling a "HYBE" on HYBE, the whole world has become HYBE

6. Isn't the purpose of a showcase to promote something? If they’re going to keep it under wraps, why even hold one? To satisfy the fans?

7. That's cheaper than the NDA clause for Produce and SMTM

8. You just have to not leak anything

9. What are they saying? Everyone does this....

10. You're safe as long as you keep the secret
