According to investment banking (IB) industry and legal sources, CEO Min met with Dunamu Chairman Song Chi-hyeong and Naver officials on the 16th to propose the acquisition of ADOR. CEO Min reportedly told Mr. Song to "pressurize HYBE to leave ADOR alone" and other comments. Dunamu is the third-largest shareholder with a 5.6% stake in HYBE.
CEO Min's contact with Naver and Dunamu came to light during HYBE's audit of ADOR. HYBE launched an internal audit on May 22 after finding that CEO Min had illegally downloaded trade secrets that only HYBE can manage, including dividend details for each artist and income by region. The audit was conducted to determine whether CEO Min was attempting to engage outside investors to sell HYBE's stake in ADOR.
During the audit, HYBE reportedly accessed CEO Min's PC and found KakaoTalk chat logs showing CEO Min's contact with Naver and Dunamu. The documents show CEO Min saying, "Song Chi-hyung doesn't even understand what I'm saying. XX" and "Naver is still a bit good at understanding," among other things. Earlier, HYBE also released a transcript of a conversation in which CEO Min responded that it was "great" to a plan by the vice president of ADOR to secure cash through put options and buy a stake in ADOR from HYBE through a financial investor (FI).
